Terms & Conditions

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "Client," or "you") and Bridge MD AI ("Bridge MD AI," "we," "us," or "our"), governing your access to and use of our AI-powered referral operations platform, website located at bridgemdai.com, and all related services (collectively, the "Services").

By accessing the Services, creating an account, executing a subscription agreement, or otherwise using the platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are accessing the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Bridge MD AI provides an AI-powered referral operations and document management platform designed for specialty medical practices. Our Services include, but are not limited to:

• Automated ingestion and classification of inbound faxes, emails, and uploaded documents
• Optical character recognition (OCR) and AI-based data extraction from clinical documents
• Patient identity matching and deduplication with human-in-the-loop review workflows
• Integration with Electronic Medical Record (EMR) and Practice Management (PM) systems
• Referral coordination, routing, and operational visibility dashboards
• Appointment scheduling support and staff communication tools
• SMS and communication workflows via integrated platforms such as Spruce

We reserve the right to modify, suspend, or discontinue any feature of the Services at any time with reasonable notice to active subscribers. New features or tools added to the Services shall also be subject to these Terms.

The Services are intended exclusively for use by licensed healthcare organizations, medical practices, healthcare administrators, and their authorized staff members operating in compliance with applicable federal, state, and local laws.

To access the Services, you must:

• Be at least 18 years of age
• Be a legally authorized representative of a healthcare entity or practice
• Provide accurate, current, and complete registration information
• Maintain the security and confidentiality of your account credentials
• Promptly notify us of any unauthorized access to your account

You are solely responsible for all activity that occurs under your account. Bridge MD AI is not liable for any loss or damage arising from unauthorized account access resulting from your failure to safeguard credentials.

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services in any way that violates applicable federal, state, or local laws or regulations, including HIPAA
• Transmit unsolicited commercial communications or spam through the platform
• Attempt to gain unauthorized access to any portion of the Services or related systems
• Reverse engineer, decompile, or disassemble any portion of the platform software
• Use the Services to process data on behalf of individuals or entities not covered by your subscription agreement
• Upload or transmit malicious code, viruses, or any disruptive software
• Resell, sublicense, or otherwise transfer your rights to use the Services without written consent
• Use automated scraping tools, bots, or crawlers to extract data from the platform

Violation of permitted use policies may result in immediate suspension or termination of access without refund.

As a User, you represent and warrant that:

• Your organization is a HIPAA Covered Entity or Business Associate with appropriate authority to share PHI with Bridge MD AI
• You have obtained all necessary patient authorizations, consents, or legal bases required for processing PHI through our platform
• You will only transmit the minimum necessary PHI required to fulfill the intended workflow
• You will train your staff on appropriate use of the platform in accordance with your own HIPAA policies

Bridge MD AI implements technical, administrative, and physical safeguards designed to protect PHI in accordance with the HIPAA Security Rule, including encrypted data transmission, access controls, and audit logging. However, no system is 100% secure and we cannot guarantee absolute security.

All content, technology, software, algorithms, workflows, designs, trademarks, logos, and materials comprising the Bridge MD AI platform are the exclusive intellectual property of Bridge MD AI or its licensors, and are protected by applicable copyright, trademark, and trade secret laws.

Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business operations only. This license does not include the right to:

• Copy, reproduce, or distribute platform software or content
• Create derivative works based on the platform or its AI models
• Use Bridge MD AI's name, logo, or branding without prior written consent
• File patents or intellectual property claims based on the platform's methods or systems

You retain ownership of all data and content you upload to the platform. By uploading content, you grant Bridge MD AI a limited license to process that data solely for the purpose of providing the Services to you.

Fees for the Services are set forth in your subscription agreement or order form. By subscribing, you authorize Bridge MD AI to charge the payment method on file for all applicable fees.

• Subscription fees are billed in advance on a monthly or annual basis as selected
• All fees are non-refundable except as expressly stated in a written agreement or required by law
• You are responsible for all applicable taxes, levies, or duties imposed by taxing authorities
• Failure to pay may result in suspension of access after reasonable notice
• We reserve the right to update pricing with 30 days' written notice to active subscribers

Bridge MD AI collects and processes data in accordance with our Privacy Policy, available at bridgemdai.com/privacy. Our Privacy Policy is incorporated into these Terms by reference.

With respect to platform data:

• We do not sell, rent, or share your organizational data or PHI with third parties for marketing or advertising purposes
• Aggregated, de-identified analytics data may be used to improve platform performance
• Data is retained in accordance with our data retention policy and applicable law
• Upon termination, you may request export of your data within 30 days before secure deletion

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. BRIDGE MD AI DISCLAIMS ALL WARRANTIES INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Services will be uninterrupted, error-free, or completely secure
• AI extraction and OCR results will be 100% accurate in all cases
• The Services will meet all of your specific operational requirements
• Any errors in the platform will be corrected within a specific timeframe

You are responsible for independently verifying AI-extracted data before clinical or administrative action is taken.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BRIDGE MD AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, business, or goodwill
• Damages arising from unauthorized access to or alteration of your data
• Damages resulting from your reliance on AI-generated outputs without independent verification

In all cases, Bridge MD AI's aggregate liability to you for any claims arising out of or related to these Terms shall not exceed the total fees paid by you to Bridge MD AI in the twelve (12) months preceding the claim.

You agree to indemnify, defend, and hold harmless Bridge MD AI and its officers, directors, employees, agents, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Services in violation of these Terms
• Your violation of any applicable law or regulation, including HIPAA
• Any breach of your representations or warranties under these Terms
• Any claim by a third party arising from your use of PHI through the platform without proper authorization
• Any negligent or wrongful act or omission by you or your staff

Either party may terminate a subscription by providing written notice in accordance with the terms of the applicable subscription agreement. Bridge MD AI reserves the right to suspend or terminate your access to the Services immediately, without notice or refund, if:

• You materially breach any provision of these Terms
• We reasonably believe your use poses a security, legal, or compliance risk
• You become insolvent, bankrupt, or make an assignment for the benefit of creditors
• Required by law or regulatory authority

Upon termination, all licenses granted to you under these Terms immediately cease. Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, and governing law shall survive termination.

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration administered under the rules of the American Arbitration Association (AAA), with proceedings conducted in Houston, Texas. The parties waive any right to a jury trial.

Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction in Harris County, Texas to prevent irreparable harm pending arbitration.

Bridge MD AI reserves the right to update or modify these Terms at any time. We will provide notice of material changes via email to the address on file or through a prominent notice on the platform at least 14 days before changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.

We encourage you to review these Terms periodically. The "Last Updated" date at the top of this page indicates when changes were most recently made.
